These Terms of Use ("Terms") govern your access to and use of the StrataCM website, mobile applications, and related services (collectively, the "Service") provided by Alora Technologies LLC ("Alora Technologies," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility & Accounts
1.1 Eligibility
You may use the Service only if you:
- Are at least 13 years old (or the minimum legal age in your jurisdiction), and
- Have the authority to enter into these Terms (for example, on behalf of your company).
If you access the Service on behalf of a business, organization, or other entity ("Customer"), you represent and warrant that you are authorized to bind that entity to these Terms, and "you" refers to both you personally and the entity.
1.2 Account Registration
To use certain features, you may need to create an account or accept an invite from a Customer. You agree to:
- Provide accurate, current, and complete information.
- Keep your login credentials secure and not share them.
- Notify us promptly of any unauthorized use of your account.
You are responsible for all activity occurring under your account.
2. Relationship With Customer Organizations
StrataCM is typically provided to you through your employer, contractor, or other organization (the "Customer"). In most cases:
- The Customer controls and owns the projects, data, and content you access via the Service.
- The Customer may manage, restrict, or terminate your access at any time.
- Requests to access, export, or delete project-related data may need to be directed to the Customer, not to us directly.
Our use of personal information is described in our Privacy Policy.
3. Permitted Use & Restrictions
3.1 Permitted Use
Subject to these Terms and any applicable order or subscription agreement between us and the Customer, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for legitimate business purposes related to construction and project management.
3.2 Restrictions
You agree that you will not, and will not permit anyone else to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Access or attempt to access accounts or data that you are not authorized to access.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Circumvent or interfere with security features or access controls.
- Upload or transmit viruses, malware, or other harmful code.
- Use the Service to send spam or unsolicited commercial messages, or to violate any anti-spam laws.
- Misrepresent your identity or affiliation with any person or entity.
We reserve the right to monitor use of the Service and to suspend or terminate access for violation of these Terms.
4. Subscriptions, Fees & Payment
If you or your organization purchase a paid subscription:
- Pricing, subscription terms, and payment details are governed by the applicable order form or subscription agreement with us.
- Fees are typically billed in advance and are non-refundable, except as expressly stated in that agreement or required by law.
- We may suspend or terminate access to the Service for non-payment.
- Any trials or promotional pricing are provided at our discretion and may be modified or discontinued at any time.
5. User Content & Customer Data
5.1 User Content
You may submit or upload information, text, files, images, logs, or other content ("User Content") to the Service. You retain any ownership rights you have in your User Content.
You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, process, display, and transmit User Content as necessary to:
- Provide, maintain, and improve the Service.
- Comply with law and enforce these Terms.
- Support the Customer's use of the Service.
5.2 Customer Data
"Customer Data" means all data submitted to the Service by or on behalf of a Customer, including User Content. As between the parties, the Customer owns Customer Data. We process Customer Data only as described in our agreement with the Customer and in our Privacy Policy.
We may use anonymized and aggregated data (that does not identify individuals or Customers) to improve the Service and for analytics, benchmarking, and similar purposes.
6. Intellectual Property
The Service, including all software, interfaces, graphics, logos, trademarks, and other content (excluding User Content and Customer Data), is owned by Alora Technologies or its licensors and is protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms, we and our licensors reserve all rights, title, and interest in and to the Service. You may not use our trademarks, logos, or brand elements without our prior written consent.
7. Third-Party Services
The Service may integrate with or link to third-party services (e.g., email providers, analytics tools, or other construction tools). We are not responsible for third-party services, and your use of them is subject to the terms and privacy policies of those third parties.
8. Communications & Email
By using the Service, you agree that we may send you certain communications, such as:
- Transactional or service emails (account notifications, project invitations, password resets, security alerts).
- Important updates about the Service or these Terms.
We may also send optional product updates or marketing communications where permitted by law and subject to your consent. You may opt out of non-essential emails by using the unsubscribe link in those messages or adjusting your notification settings.

9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranties arising out of course of dealing or usage of trade.
- Any warranty that the Service will be uninterrupted, error-free, secure, or free of harmful components.
You are responsible for determining whether the Service is appropriate for your intended use and for complying with all laws and regulations applicable to your projects and business.
10. Limitation of Liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service.
- Our total liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the amounts you or the Customer have paid to us for access to the Service in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100) if no such payments have been made.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Alora Technologies, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any law or third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe:
- You have violated these Terms, or
- Continued access could create risk or harm to us, the Service, other users, or the Customer.
The Customer may also terminate or modify your access at any time.
Upon termination:
- Your right to use the Service ceases immediately.
- Certain provisions of these Terms will survive, including ownership, disclaimers, limitations of liability, and indemnity.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Missouri, USA, without regard to its conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.
14. Changes to the Service and Terms
We may modify or discontinue all or part of the Service at any time. We may also update these Terms from time to time.
When we make material changes, we will update the "Last Updated" date at the top and may provide additional notice (e.g., email or in-app notice). Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.

This Privacy Policy explains how Alora Technologies LLC ("Alora Technologies," "we," "us," or "our") collects, uses, and shares information when you use StrataCM, including our website, mobile applications, and related services (collectively, the "Service").
By using the Service, you agree to the practices described in this Privacy Policy. If you do not agree, please do not use the Service.
1. Information We Collect

1.1 Information You Provide Directly
- Account information: Name, email address, password, role, company name, and similar information when you sign up, accept an invitation, or update your profile.
- Project and jobsite data: Information about projects, jobs, tasks, schedules, time entries, and logs created or submitted within the Service.
- Communication: Messages, feedback, and other information you provide when you contact us or communicate through the Service.
- Preferences: Notification preferences and other settings you choose.
1.2 Information We Collect Automatically
When you use the Service, we may automatically collect:
- Usage data: Log data about how you access and use the Service, such as pages viewed, features used, timestamps, and interactions.
- Device and technical data: IP address, browser type, operating system, mobile device identifiers, app version, and similar technical information.

1.3 Information from Customers and Third Parties
If you use StrataCM through a company or organization (a Customer), your employer or project admin may provide your name, email address, role, and other relevant details to invite you to the Service.
We may receive information from third-party services integrated with StrataCM (for example, identity providers, communication tools, or analytics tools) where permitted by their terms and your settings.
2. How We Use Information
We may use the information we collect for the following purposes:
- To provide and operate the Service: Including creating and managing accounts, enabling project workflows, recording time and activity, and delivering notifications.
- To communicate with you: Sending transactional emails (account creation, password resets, project invitations, job updates, security alerts) and, where permitted, product updates and marketing communications.
- To customize and improve the Service: Analyzing usage to improve features, performance, and user experience.
- To maintain security and prevent abuse: Detecting and preventing fraud, unauthorized access, and other harmful activities.
- To comply with legal obligations: Meeting regulatory requirements, responding to lawful requests, and enforcing our Terms of Use.
- For business operations: Including internal reporting, accounting, and planning.
Where required by law, we rely on your consent, the performance of a contract, our legitimate interests, or compliance with a legal obligation as our legal bases for processing personal information.

3.1 With Customer Organizations
If you use the Service under a Customer (e.g., your employer):
- Your information (such as name, email, role, time entries, logs, and project activity) may be visible to that Customer's admins and other authorized users.
- The Customer may export, manage, or request deletion of data associated with your account in accordance with their policies.
3.2 With Service Providers
We may share information with trusted third-party service providers who help us operate the Service, such as:
- Hosting and infrastructure providers.
- Email and communication providers (including OneSignal).
- Analytics and monitoring tools.
- Payment processors (if applicable).
These providers are authorized to use personal information only as necessary to provide services to us and are bound by contractual obligations to protect it.
3.3 For Legal and Safety Reasons
We may disclose information if we believe in good faith that it is reasonably necessary to:
- Comply with applicable law, regulation, legal process, or governmental request.
- Enforce our Terms of Use or other agreements.
- Protect the rights, property, or safety of Alora Technologies, our users, Customers, or the public.
3.4 Business Transfers
If we are involved in a merger, acquisition, financing, or sale of all or a portion of our business, personal information may be transferred as part of that transaction, subject to continued protection as described in this Policy.
3.5 Aggregated or De-Identified Data
We may use and share aggregated or de-identified data (that cannot reasonably be used to identify an individual) for research, analytics, benchmarking, and improving the Service.
4. Email Communications & Preferences
We use email to:
- Deliver transactional messages such as account invitations, password resets, project notifications, and security alerts.
- Send service-related communications about changes to the Service, policies, or technical issues.
- Send optional marketing and product updates, where permitted by law and subject to your consent.
You can:
- Opt out of marketing and non-essential emails by clicking the unsubscribe or manage preferences link in those emails.
- Adjust certain communication preferences in your account settings (where available).

You cannot opt out of important transactional emails that are necessary to provide the Service (such as security alerts or critical account notices), except by deactivating your account.
5. Data Retention
We retain personal information for as long as needed to:
- Provide the Service to the Customer.
- Comply with legal obligations.
- Resolve disputes and enforce our agreements.
We may retain certain logs and records for a reasonable period of time after the end of a subscription or account closure, unless otherwise required by law or contract. Data that has been aggregated or de-identified may be retained indefinitely.
If a Customer requests deletion of data associated with your account, we will process that request in accordance with our agreement with the Customer and applicable laws.
6. Security
We implement reasonable administrative, technical, and physical safeguards designed to protect personal information against loss, misuse, and unauthorized access, disclosure, alteration, or destruction.
However, no method of transmission over the internet or electronic storage is completely secure. We cannot guarantee absolute security.
7. International Transfers
Our systems and service providers may be located in the United States and other countries. By using the Service, you understand that your information may be transferred to, stored, and processed in countries that may have data protection laws different from those in your jurisdiction.
Where required, we take appropriate measures to ensure that international transfers comply with applicable data protection laws.
8. Children's Privacy
The Service is not directed to children under 13 years of age, and we do not knowingly collect personal information from children under 13.
If we become aware that we have collected personal information from a child under 13 (or under the minimum age in their jurisdiction) without appropriate consent, we will take steps to delete it. If you use the Service through a Customer, many requests must be directed to that Customer (e.g., your employer), because they are the controller of your data in the Service. We may refer your request to the appropriate Customer.

10. Third-Party Links & Services
The Service may include links to third-party websites or services. We are not responsible for the privacy practices of those third parties. We encourage you to review their privacy policies before providing them with any personal information.

We may update this Privacy Policy from time to time. When we do, we will revise the "Last Updated" date at the top and, where appropriate, provide additional notice (such as an in-app notice or email).
Your continued use of the Service after any changes become effective signifies your acceptance of the updated Privacy Policy.
